Club Mission
Compounding Capital & Collective Judgment
Individual investors frequently face an asymmetric disadvantage: either delegate capital blindly to high-fee blind pools or evaluate complex private and public transactions in isolation. IC2.0 LLC resolves this tension through active, member-driven collaboration.
Every member participates directly in sourcing, evaluating, debating, and monitoring investments. By uniting technologists, infrastructure architects, financial executives, and seasoned entrepreneurs, the club brings multi-disciplinary scrutiny to every opportunity.
4-Stage Diligence Workflow
-
1. Origination & Sponsor Screening
A sponsoring member submits a 2-page preliminary brief outlining thesis, sector dynamics, and valuation expectations.
-
2. Deep-Dive & Counter-Thesis Review
The sponsor and an assigned Risk Reviewer conduct financial modeling, technical architecture validation, and management interviews.
-
3. Committee Presentation & Binding Vote
Full Investment Memorandum is distributed 72 hours prior to the monthly briefing for structured debate and formal member vote.
-
4. Quarterly Tracking & Exit Execution
The Deal Sponsor reports KPIs, covenant compliance, and thesis milestones at each Quarterly Portfolio Review.
Governance Architecture

Diligence Lead (Deal Sponsor)
Any active member proposing an allocation serves as Deal Sponsor—responsible for authoring the 7-part Investment Memorandum, coordinating primary reference calls, and leading ongoing position monitoring.
Risk & Counter-Thesis Reviewer
Assigned to every final-stage proposal to independently stress-test valuation multiples, customer concentration, cap-table terms, liquidity horizons, and downside scenarios.

Maintains member capital accounts, reconciles quarterly NAV statements, tracks cash reserves, and coordinates annual partnership tax filings and Schedule K-1 issuance.
Portfolio Protection
Risk Discipline & Allocation Guardrails
Explicit portfolio constraints protect the partnership against concentration drift, illiquidity traps, and unexamined conflicts of interest.
Single-Position Concentration Cap
Maximum 12.5% of total club committed capital at cost in any single private or public issuer without unanimous supermajority waiver.
Liquidity & Treasury Reserve
Minimum 15% of club NAV held in liquid treasury bills or money market instruments to support follow-on pro-rata rights and administrative expenses.
Quorum & Ratification Threshold
Minimum 67% of active voting membership present for quorum; 75% affirmative weighted vote required to authorize new private capital deployments.
Conflict-of-Interest Recusal
Mandatory written disclosure of any prior equity, advisory role, or commercial relationship with a target company; interested members recuse from binding vote tally.
