Protocol for Deal Sponsors

Member Presentation Guidelines

To preserve meeting quality and ensure informed voting, all Deal Sponsors adhere to our four-step submission timeline.

T-7 Days

Agenda Registration & Conflict Disclosure

Deal Sponsors register their presentation topic with the Managing Committee and file written conflict-of-interest disclosures.

T-72 Hours

Memorandum & Data Room Distribution

The completed IC2.0 LLC Investment Memorandum (PDF) and supporting financial exhibits must be circulated to all active members at least 72 hours before the briefing.

Live Session

Read-Ahead Assumption & Socratic Debate

Members are expected to read all memoranda prior to convening. Live presentations are capped at 20 minutes to maximize time for rigorous questioning and risk analysis.

T+48 Hours

Formal Ballot & Execution

Binding allocation ballots are recorded within 48 hours of the briefing, followed by Treasurer execution and capital account logging.

Governance Integrity

Quorum & Voting Policy

Quorum Requirement: At least 67% of active voting members must be present (in person or via authenticated video session) to constitute a valid decision-making quorum.
Written Proxy Ballots: Members unable to attend due to travel may submit a written proxy ballot to the Managing Committee Chair up to 4 hours prior to the session, provided they have reviewed the distributed Investment Memorandum.
Binding Approval Threshold: New capital commitments require a 75% affirmative vote of participating members.

Member Standing & Guests

Attendance & Guest Speaker Rules

Minimum Attendance Standard: Active members maintain at least 75% attendance across monthly and quarterly sessions over each rolling 12-month period.
Invited Domain Speakers: External executives, founders, or sector specialists may be invited to present during the first 30 minutes of a monthly briefing with prior approval of the Managing Committee.
Executive Session Confidentiality: Non-members excuse themselves prior to internal portfolio discussions, valuation reviews, and member balloting.
