Exit Pathways & Monitoring KPIs
Expected liquidity avenues (strategic M&A, secondary sale, distributions, or public market exit) and quarterly KPIs to track thesis validity.
Charter Reference
Operating Agreement & Governance Principles
IC2.0 LLC is governed by its Restated Limited Liability Company Operating Agreement. Active members may request certified copies or capital account schedules directly through the Managing Committee.
Member-Managed Authority
No third-party manager exercises discretionary control over club capital. All investments are evaluated and ratified directly by the members.
Pro-Rata Capital Accounts
Realized gains, income, and administrative costs are allocated strictly in proportion to each member's verified capital account balance.
Transfer & Withdrawal Rules
Membership interests are non-transferable without unanimous committee consent. Redemptions follow quarterly liquidity windows subject to underlying asset lock-ups.
Strict Confidentiality
All issuer financials, proprietary diligence memos, and committee deliberations are confidential and restricted to active members.
